TERMS & CONDITIONS OF SALE

  1. AGREEMENT: The terms and conditions of this Agreement shall govern all transactions relating to the subject matter addressed herein. Performance of an order does not constitute sellers agreement to or acceptance of any new or different terms, including pre-printed terms on buyers order. Any and all purchase orders issued by buyer shall be deemed subject to the terms and conditions of this Agreement whether or not such purchase orders specifically referenced in this Agreement.
  2. DELIVERY: Delivery of goods and materials shall be made F.O.B. Origin (Seller Facility), unless otherwise expressly agreed upon in writing. All deliveries by Seller’s Trucks are subject to a delivery charge unless prices have been specifically quoted as delivered. Buyer agrees to pay redelivery charge for any failed delivery, for any reason other than Seller’s error. Seller shall not be reliable for any delay or failure to perform, in whole or in part, caused by any such provision, restriction or regulation or by fires, floods, strikes, work stoppage, accidents, casualties, inability to procure supplies, raw material or products, delays in transportation, or other causes beyond Seller’s control. Title and risk of loss shall pass to buyer upon delivery of the products to the carrier by seller. Buyer shall be responsible for transportation charges to buyer’s location. Freight charges shall be separately identified on all invoices.
  3. SCHEDULE: Dates of delivery are determined from the date of seller’s confirmation of any oral agreement with buyers and are estimates of approximate dates of delivery, not a guaranty of a particular day of delivery. Seller shall not be reliable for failure or delay in shipping goods ordered if such failure or delay is due to an act of God such as a fire, earthquake, flooding, war, labor difficulties, accident , inability to obtain raw materials, or other causes of any kind whatever beyond the control of seller.
  4. BUYERS INSPECTION: Buyers should inspect the goods immediately on their arrival and shall within twenty-four hours of their arrival give written notice to Seller of any claim that the goods do not conform with the terms of the contract. If buyer shall fail to give such notice, the goods shall be deemed to conform to their terms of the contract and Buyer shall be bound to accept and pay for the good in accordance with the terms of the contract. Buyer expressly waives any rights Buyer may have to revoke acceptance after such twenty- four hours period.
  5. TAX: Any tax imposed by federal, state, or other governmental authority on the sale of the merchandise and service referred to in this confirmation shall be paid by the buyer in addition to the purchase price.
  6. MANUFACTURING: Seller warrants to buyer that the goods will be made in a workmanlike manner and in accordance with written specifications thereof supplied by buyer and will be made pursuant to seller’s customary manufacturing procedures.
  7. WARRANTY: Expect for all the warranties expressed set forth in writing on the face or reverse side of this document, SELLER MAKES NO WARRANTY, EXPRESS OR IMPLIED: AND ANY IMPLIED WARRANTY OF MERCHANT-ABILITY OR FITNESS FOR A PARTICULAR PURPOSE THAT EXCEEDS THE WARRANTIES HERIN EXPRESSLY SET FORTH IS HEREBY DISCLAIMED BY SELLER AND EXCLUDED FROM THE AGREEMENT
  8. CLAIMS: No claims of any kind whether as to goods delivered or for non-delivery of goods, shall be greater in amount than the purchase price of the goods in respect to which such damages or claims; and failure to give notice of a claim within thirty (30) days from the date of delivery, or the date fixed for delivery, as the case may be, shall constitute a waiver by buyer of all claims in respect to such goods. The remedy hereby provided shall be the exclusive and sole remedy of the buyer; any right to the buyer to consequential and incidental damages in excluded.
  9. GOVERNING LAW: This agreement and all rights and obligations hereunder shall be governed in accordance with the laws of the State of California.
  10. TERRITORIAL: Each of the parties to this Agreement consents and submits to the jurisdiction of the Courts of California and of the Courts of the United States for a judicial district within the territorial limits of California for all purposes of the Agreement and any Ancillary Document to which it is a party, including, without limitation, any action or proceeding instituted for the enforcement of any; (a) right, remedy, obligation or liability a rising under or by reason hereof and thereof; (b) consents and submits to the venue of such action or proceeding in San Bernardino County/Orange County; California (or such judicial district of a Court of the United States as will include the same) ; (c) consents that service of legal process in any such action or proceeding may be made upon it by service upon the party by mailing a copy thereof by certified mail, return receipt requested, postage prepaid, to such party as its last known address.
  11. SUCCESSOR: Successors and Assigns. The terms and conditions of the Agreement shall insure to the benefit of and be binding upon the respective successors of the parties hereto.
  12. INTEREST: If payments are not made in accordance with this agreement, the entire unpaid principal shall bear interest at the rate of One and One Half Percent (1.5%) per month until paid. (effective annual rate of 21% ) Should this amount exceed the maximum rate permitted by applicable law, the maximum rate permitted by law shall apply. The maximum rate shall be governed by the law of the State in which the buyer’s designated billing office is located.
  13. COLLECTION: Time is of the essence of this contract and in case this Agreement is collected by law or through an attorney at law, or under advice there from, the buyer agrees to pay all costs of collection, including attorney’s fees. Attorney’s fees, excluding costs shall be no less than thirty-five percent of the outstanding balance or $10,000 which ever is greater.
  14. BUYER: If more than one party shall execute this Agreement, the term “buyer” as used herein, shall mean all parties signing this Agreement and each of them, who shall be jointly and severally obligated hereunder. All agents signing this agreement shall be equally responsible as their principal.
  15. SECURITY INTEREST: Seller reserves and Buyer hereby grants to Sellers, a security interest in all goods and materials purchased hereunder and in any proceeds thereof until Seller has received payment in full or the purchase price and any other amounts due hereunder. Seller shall have all the rights and remedies of a secured party under the Uniform Commercial Code, and Buyer agrees, at Seller’s request, to execute financing statements and to take such other Action as Seller may reasonably request to carry out the intent of the Section.

WAIVER: No failure of Seller to insist upon strict compliance by Buyer with the terms and condition of this acknowledgment or to exercise any right accruing from any default of Buyer shall impair Seller’s right in case Buyer’s default continues or in any case of any subsequent default by Buyer. Waiver by Seller of any breach contract shall not be construed as a waiver of any other existing or future breach.

ORDERING GUIDELINES

The accuracy of order processing and ease of communication is enhanced when using our terminology. Please understand the following information before ordering or be sure to ask for clarification.

  • All measurements are Width by Height (W x H), including drawers.
  • All prices, except option charges, are per square foot (sq. ft.) and computed to the nearest hundredth of an inch.
  • DOOR SIZE: The size you order is the size we manufacture.
  • Doors are available with arched rail on bottom (Double Arched optional charges apply).
  • If you require a special color or grain; you must supply a sample and make note of your requirements at the time of ordering. Even though tremendous care will be taken to match color or grain, please remember that wood is a natural product and it is not always possible to achieve an exact match. Special color or grain may result in an additional fee.
  • Wainscot panels and doors with additional stiles or rails are available.
  • Glass doors are routed to accept 1/8” glass, single pane only. Rubber glass stops will be provided. Wood glass stops may be requested (additional charge).
  • Cope-n-Stick doors 48” and over will have a straight center rail installed unless noted otherwise (not guaranteed when the rail is excluded). Mitered doors can have center rail upon request (not guaranteed when the rail is excluded).
  • All doors may be cut for glass, unless otherwise noted.
  • Any “Paint Grade” material means: Material is sound with no regard for color match, and all natural defects are acceptable as long as they are sound. Putty fill is also acceptable. Paint Grade materials are listed as Paint Grade Maple, Paint Grade Hardwood, etc. You may choose panels to be MDF or wood (recessed panels excluded). Other materials may be painted but are not guaranteed.
  • Any “Select” material means: Every effort is taken to minimize natural characteristics (pitch pockets, pin knots, and mineral streaks). Since they are a natural occurrence in wood products they are a not considered a manufacturing defect.
  • Cherry material will naturally darken, sometimes drastically, when exposed to sun and natural light. This may be enhanced with light and clear finishes and is not considered a manufacturing defect.
  • Extra sanding steps may be necessary when using dark stains and glazes to ensure an even finish.
  • Cherry, Maple, European Steamed Beech, Pine, and Birch may require treatment with a pre-sealer, especially when using medium to dark finishes, to prevent blotchy or uneven finishing.

ORDERING INFORMATION

  1. AKNOWLEGEMENT OF TERMS & CONDIITONS
    By accessing and utilizing this website, the user agrees to all the terms and conditions under applicable law as outlined. If you do not agree with the terms and conditions, then do not use this website.
  2. PRODUCT NOTE
    Apart from hardware items, all goods are custom fabricated per the specifications provided. Therefore, it is recommended that a sample order be placed prior to placing a full order. This will help ensure you are ordering the correct item(s). Please be aware that orders cannot be returned or refunded if they were not fabricated as intended.
  3. ORDER CHANGES
    Once submitted, orders can only be changed without being assessed a service charge if production has not started. Production will typically begin within 24 hours after order submission. If production has begun, then there will be a minimum 25% pro-rated charge for time and materials, plus a $25 administrative charge assessed. Changes may also affect the delivery date.
  4. ORDER CANCELLATION
    Once submitted, orders can only be cancelled without being assessed a service charge if production has not started. Production will typically begin within 24 hours after order submission. If production has begun, then there will be a minimum 25% pro-rated charge for time and materials, plus a $25 administrative charge assessed.
  5. PRODUCTION SCHEDULE
    Corona Millworks take great pride in offering some of the quickest turn-around times in the Cabinet Industry. Typically, orders are manufactured and delivered within 2 weeks from the order submission date. When the order enters production, the customer will be notified of their scheduled ship date. Depending on the delivery method this could be the next day, or slightly longer if shipped via Freight or outside our standard delivery area.
  6. LOCAL CMW TRUCK DELIVERY
    Corona Millworks offers delivery via our own fleet of trucks to most of Southern California, Metro Phoenix Arizona, and Las Vegas Nevada. A $.95 per-piece handling charge plus an applicable delivery charge will apply for each delivery. If you are outside of our local delivery area then common carrier options are available.
  7. COMMON CARRIER FREIGHT SHIPPING
    If you are located outside our local delivery area, then you can opt for freight delivery. We do our best to find the best carrier for each order and quote estimated shipping costs. Freight is estimated when the order is submitted, but the total is not finalized until the order has been manufactured and the finished product palletized and weight. A $.95 per-piece handling charge will also apply. At which time we can provide an actual shipping cost and transit times. Freight delivery may also require special services that would be in addition to the freight cost.
  8. WILL CALL
    Will Call pickup is available in Chino, California. A $.95 per-piece handling fee will apply and all orders must be picked up as scheduled. Any items left in Will Call beyond 7 days may be accessed a storage charge and the warranty will become void.
  9. RETURNS & REFUNDS
    It is the customer’s responsibility to ensure the details on the order are correct before submission. Returns are not accepted for custom fabricated Doors, Drawer Fronts, or Drawer Boxes due to customer errors. Returns for fabricated goods are accepted when there is a manufacturing error by Corona Millworks.
    Hardware items are returnable within the first 30 days after delivery has been made. A 25% restocking charge will be assessed to the retuned hardware. Return shipping is also the responsibility of the customer.
  10. SHIPPING INSPECTION & VERIFICATION
    Orders should be inspected for quantities upon receipt. Any discrepancies must be reported at the time of delivery before the delivery is signed for. For quality, sizing, damage, or other issues must be submitted within 5 days of delivery.
  11. WEBSITE TYPOGRAPY & INFO
    If a specification or price is mistakenly listed, Corona Millworks reserves the right to cancel and/or refuse any such order. Cancellation is at the sole discretion of Corona Millworks, and may occur after the order has been paid for. In the event of cancellation Corona Millworks will refund the credit to your card or payment method.

RECOMMENDATIONS

Special instructions & recommendations for your wood doors and drawer fronts.

Wood is a naturally porous material that can be affected by environmental conditions. Temperature, moisture, and humidity can cause a door to warp, twist, or crack. To ensure this is minimized, Corona Millworks recommends the following steps be considered when storing, handling, and finishing doors and drawer fronts.

DAMAGE CAUDED BY FAILURE TO FOLLWO THESE RECOMMENDATIONS IS INTO CONSIDERED A DEFECT – THUS CORONA MILLWORKS WILL NOT BE RESPONSIBLE FOR DAMAGE CAUSED BY FAILURE TO FOLLOW THESE RECOMMENDATIONS.

STORAGE & HANDLING RECOMMENDATIONS

  • Keep unfinished wood in a temperature controlled environment. Extreme fluctuations in temperature, which often occur on job sites, can cause warping, twisting, and cracking in as little as 24 hours of delivery.
  • Prior to bringing the doors to a job site, we recommend that the structure have all exterior doors and windows installed. This will help bring the structure to occupancy temperature.
  • It is recommended that all plaster and drywall has had at least 2 weeks to dry before bringing the doors in.
  • Do not store doors or drawer fronts directly on concrete, this can cause them to draw in moisture.
  • If possible, store them stacked horizontally on a pallet or raised platform.

FINISHING RECOMMENDATIONS

  • For best results doors should be finished prior to installing. Finishing after installation may cause uneven application, especially on door tops and bottoms.
  • Apply at least two even coats of finish to the entire door surface – front, back, top, bottom, sides, and any cutouts or details. This will help seal the door from water and moisture.
  • Extra sanding and prep may be needed when applying darker stains and glazes.

WARRANTY IMPACT

  • Once doors and drawer fronts have been delivered and received, Corona Millworks cannot monitor the conditions in which the delivered goods are kept. Please follow the recommendations provided to minimize warping, twisting, and cracking of the delivered goods.
  • Upon delivery items should be inspected for any damage prior to signing the delivery ticket. Claims must be made in writing within 5 days of shipment.
  • Upon approval of a claim doors must be returned to Corona Millworks in their original condition for inspection. Doors and drawer fronts that show signs of neglect or have been modified in any way will be deemed accepted and void of warranty coverage.
  • If the recommendations listed here are followed, then warping, twisting, and cracking should be minimized.
